Sliced Bread ETL

1. Definitions

1.      “Sliced Bread Software B.V.” means the private company with limited liability under Dutch law, Sliced Bread Software B.V., KvK 86125192, Keizersgracht 520 H, 1017EK AMSTERDAM, The Netherlands.

2.      “AppExchange” means the online directory of applications that interoperate with Salesforce.com and includes a listing for the Services. The AppExchange is located at http://www.salesforce.com/appexchange or at any successor websites.

3.      “Org”, “Sandbox Org” or “Production Org” means the virtual space (instance) provided by Salesforce.com to You that includes Your salesforce data, customizations and applications and is used in connection with the Services. An Org may reference Your production environment (“Production Org”) or a developer or test instance (“Sandbox Org”).

4.      “Services” or “Software Product” means the online, web-based application Sliced Bread, provided by Sliced Bread Software B.V. via the AppExchange and/or other designated websites.

5.      “You” means the rightful user of Sliced Bread.

2. License scope

1.      Sliced Bread Software B.V. hereby grants You a right to use this software. This right is limited to use by You within Your company or other legal entity.

2.      Subject to the terms of this license agreement, Sliced Bread Software B.V. hereby grants to You during the subscription term, a non-sublicensable, non-transferable, non-exclusive right to access and use the Services in accordance with this agreement.

3.      You may use Services solely for Your internal business purposes. Sliced Bread is licensed, not sold, for use. A license confers no title or ownership in this Software Product and should not be constructed as a sale of any rights in this Software Product or source code.

4.      You may access and use the Services with an unlimited number of users. A single Sliced Bread license cannot be shared between multiple Salesforce Production Orgs. The Software Product may be used in all Sandboxes that are linked to Your primary Production Org without additional cost.

5.      It is expressly forbidden to:

–          Reverse engineer the source code of the software or to decompile the software, except to the extent permitted by mandatory law;

–          Provide copies of the software to third parties;

–          Sublicense the software or otherwise make the software available to third parties, including by rental, Software-as-a-Service models or otherwise;

–          Modify the software, except to the extent permitted by mandatory law;

–          Remove indications of Sliced Bread Software B.V. as copyright holder of the software or to remove or render illegible any part thereof.

3. Intellectual property

All rights, title and interest to the software, the accompanying documentation and all modifications and extensions thereto rest and remain with Sliced Bread Software B.V. You only have the rights and permissions explicitly granted to you by this agreement or granted in writing otherwise. You may not use, copy, distribute or publish the software in any other manner.

4. Consideration

1.      You may use the software for thirty days at no charge for the purpose of evaluating if the software is right for You. After this period a subscription fee is due. The agreement terminates automatically in case You do not pay the fee after this period.

2.      You will be separately informed about the manner of payment by Sliced Bread Software B.V.

3.      Sliced Bread Software B.V. may set a reasonable payment term. If You do not pay within this period, Sliced Bread Software B.V. will send You a reminder. You give Sliced Bread Software B.V. the right to block Sliced Bread two weeks after the reminder, until You have paid the subscription fee.

4.      You must register to use this software. During registration Sliced Bread Software B.V. processes certain of Your personal data. In addition to the data requested in the registration form the IP-address from which the registration is undertaken is recorded, as well as information regarding the software. This personal data is only used for the execution of the license agreement and related purposes such as the making of related offers or notifications of available updates.

5.      Your registration information, including Your Personal data, will be disclosed to SFDC and will be used by SFDC pursuant to its privacy policy available at http://www.salesforce.com.

6.      Personal data will be deleted when it is no longer necessary for execution of this agreement, unless applicable law demands that the data is retained for a longer period. For more information, consult the privacy policy of Sliced Bread Software B.V..

7.      Use of the software additionally requires activation. The software must be activated after a trial period of one month after installation. To complete activation after the trial period the software performs an activation protocol via the SFDC Platform.

5. Updates

1.      Sliced Bread Software B.V. periodically releases updates that address bugs or improve the functioning of the software.

2.      No liability is accepted for any damage caused by bugs addressed in an update not installed by You.

3.      An update may provide terms additional to the terms of this agreement. You will be informed in advance if this is the case and You will have an opportunity to refuse that update. By installing such an update You accept the additional terms, which then become part of this agreement.

6. Support

1.      You are solely responsible for installation, configuration and usage of the software.

2.      Sliced Bread Software B.V. shall provide You with a reasonable level of support through its website https://etl.slicedbread.app and/or e-mail support@slicedbread.app (or other communication channels announced to You). Sliced Bread Software B.V. however does not guarantee that all requests for support or bug reports are taken into consideration.

7. Guarantees and liability

Sliced Bread Software B.V. guarantees:

–          that Sliced Bread substantially operates as described in the documentation;

–          that Sliced Bread contains no viruses, backdoors or malicious routines;

–          it will use its best efforts to investigate any reported bugs as soon as is practical and to repair such bug or create a workaround (but may delay repairing bugs with limited impact until the next planned update);

–          but nothing else;

–          especially Sliced Bread Software B.V. cannot guarantee the availability of the SFDC-systems and SFDC-applications; 

1.      Except in cases of intentional misconduct or gross negligence or the violation of a warranty granted above Sliced Bread Software B.V. is not liable towards You, regardless of ground, for any damages in connection with Sliced Bread.

2.      No liability exists in case damages were not reported within a month after discovery to Sliced Bread Software B.V.

3.      No liability exists if the cause of damage is beyond the control of Sliced Bread Software B.V., such as the SFDC-systems and SFDC-applications;

4.      In no event will the aggregate liability of Sliced Bread Software B.V. arising out of related to this agreement, exceed the total amounts paid by You hereunder in the twelve months preceding the first incident reported to us.

5.      In no event will Sliced Bread Software B.V. have any liability arising out of related to this agreement for any lost profits, loss of business, revenues, depletion of goodwill, or other similar losses, loss of use, loss or corruption of data or information, cost of procurement of replacement goods or services, or indirect, special, incidental, consequential business interruption or punitive damages. The forgoing disclaimer will apply whether an action is in contract or tort, regardless of the theory of liability, and will not apply to the extent prohibited by law.

8. Term of the agreement

1.      This license agreement enters into force when You start making use of the software and remains in force for one year.

2.      Unless the agreement is terminated at least one month prior to the end of this period, the term is extend with successive periods of equal length.

3.      This agreement terminates automatically and immediately in case You enter into bankruptcy, apply for a suspension of payments, Your assets are seized, or in case Your company enters into liquidation, legal dissolution or winding-up.

4.      After termination of the agreement (regardless of reason) You must cease all use of Sliced Bread. In addition You must remove all copies (including backup copies) of Sliced Bread from all computer systems under Your control.

9. Miscellaneous terms

1.      Dutch law applies to this license agreement.

2.      Unless dictated otherwise by mandatory law, all disputes arising in connection with this agreement shall be brought before the competent Dutch court for the principal place of business of Sliced Bread Software B.V..

3.      A finding that any particular provision of this agreement is legally void shall not affect the validity of the entire agreement. In such a case the parties shall determine a replacement provision that is legally valid and approximates the intent of the offending provision as much as possible.

4.      Sliced Bread Software B.V. may assign its rights and obligations under this agreement to a third party that acquires the relevant business or the copyrights to Sliced Bread from her.
